1. Agreement to Terms

By paying any invoice, by proceeding with a project, or by using our services, you (“Client”, “you”, “your”) agree to these Terms of Service (“Terms”). If you do not agree with any part of these Terms, you should not proceed with our services.

2. Services Provided

We provide website design, development, hosting, SEO support, Google Ads setup and related digital-marketing services for construction & trades contractors in Canada and the U.S. The specific scope of work, deliverables, timeline and payment structure will be set out in the invoice or proposal provided to you.
You acknowledge that services such as search-engine ranking and ad campaign results depend on external factors (industry competition, algorithm changes, hosting, third-party platforms, site maintenance) and cannot be guaranteed.

3. Payment Terms

  1. The invoice lists the purchase price and payment schedule (e.g., 50% deposit, remainder on completion or monthly payments).
  2. Unless otherwise agreed in writing, payment is due by the date shown on the invoice.
  3. Any overdue amount past thirty (30) days will incur interest at the lesser of 1½ % per month (18 % per annum) or the maximum lawful rate.
  4. Should your account be more than forty-five (45) days past due we may suspend services or take down your site/hosting until your account is brought current.

4. Delivery & Scope Changes

  1. We will make reasonable efforts to deliver within estimated timelines, but all delivery dates are estimates only.
  2. Changes or additions to the original scope of work may incur additional hourly fees at our then-current rate.
  3. If you wish to add features, make major revisions, or change the project direction after initial acceptance, a change-order may be required and fees may apply.

5. Client Responsibilities

  1. You will provide timely access, content, approvals, and any required information to allow us to perform the services.
  2. You are responsible for your domain registration, hosting (if not provided by us), correct redirections (www vs non-www, http vs https), and any changes applied by third-parties (hosting, marketing firms, internal staff) unless otherwise agreed.
  3. You agree not to make modifications to the live site (or via third-parties) without notifying us, as those changes may affect performance, ranking, or functionality — and we shall not be liable for issues caused by such third-party or self-made changes.

6. Termination & Abusive Client Conduct

  1. We reserve the right to terminate or suspend our services immediately if you engage in harassment, abusive or threatening behaviour toward our staff, contractors, or agents.
  2. In the event of termination under section 6.1 you forfeit any unpaid portion, and you remain liable for any amounts already invoiced and unpaid.
  3. Either party may cease work at any time upon written notice; in such case you remain responsible for work already performed.

7. Hosting & Access

  1. If included in your package, we provide access to the WordPress back-office (or equivalent) once payment is complete.
  2. We may place firewall or access restrictions on hosting control panels; you agree to provide required IP information or credentials when requested to ensure access.
  3. We are not responsible for downtime, hosting interruptions or errors caused by your hosting provider, domain registrar, or third-party services.

8. Intellectual Property

  1. Unless otherwise agreed in writing, we retain all intellectual-property rights in templates, code, design assets, tools and methodologies we use.
  2. Upon full payment, you receive a licence to use and modify the live finished website for your business purpose.
  3. You must not resell, sub-licence, duplicate or redistribute our proprietary materials unless we grant written permission.

9. Limited Warranty & Liability

  1. Our sole warranty is that we will perform the services with reasonable skill and care consistent with industry standards.
  2. We do not guarantee specific results (rankings, traffic, leads).
  3. Except where prohibited by law, our liability to you for any cause whatsoever will not exceed the total amount you paid us for the services.
  4. Under no circumstances shall we be liable for any indirect, consequential, incidental or punitive damages including loss of profits, data, goodwill or business interruption.

10. Indemnification

You agree to indemnify, defend and hold harmless CS Marketing Ventures Inc., its affiliates, employees, contractors, officers and agents from any claim or loss arising out of (a) your use of the services; (b) your breach of these Terms; (c) any content or modifications made by you or third-parties to the deliverables which we did not authorise.

11. Public Reviews & Communication

  1. You agree to resolve any dispute with us through direct communication rather than posting publicly prior to good-faith dialogue.
  2. Any review or public statement you post must be factually accurate, must refer to your actual project experience with us, and must not be defamatory.
  3. We reserve the right to seek remedy (including legal) for defamatory public statements.

12. Governing Law & Jurisdiction

These Terms are governed by the laws of the Province of British Columbia, Canada. You submit to the exclusive jurisdiction of the courts of the Province of British Columbia for any dispute arising out of these Terms.

13. Force Majeure

Neither party will be liable for failure to perform due to causes beyond its reasonable control (acts of God, war, labor disputes, governmental actions, internet/network failures, etc.).

14. Amendments

We may revise these Terms at any time. The updated version will be displayed on our website, and your continued use of our services after notice constitutes acceptance of the revised Terms.

15. Refund / Cancellation Policy

  1. If you cancel after work has begun you forfeit the deposit. The deposit may be applied to future service at our discretion.
  2. Hosting fees, if prepaid and cancelled early, may be refunded on a pro-rated basis based on elapsed time of the hosting term.

16. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.
